In contract, following definitions shall apply:

| Article 2 – Scope Services |
|
Duke Law agrees to provide the Client with comprehensive international legal representation, including but not limited to: international business transactions, trade law, and international dispute resolution. |
| Article 3 – Fees |
|
The Client agrees to pay Duke Law the agreed upon fees for the international legal services provided. Fees shall be invoiced in accordance with the terms outlined in a separate fee agreement. |
| Article 4 – Governing Law |
|
This contract shall be governed by and construed in accordance with the laws of the state of North Carolina. |
| Article 5 – Dispute Resolution |
|
Any disputes arising out of or in connection with this contract shall be resolved through arbitration in accordance with the rules of the International Chamber of Commerce. |
| Article 6 – Termination |
|
This contract may be terminated by either party upon written notice to the other party. Termination shall not affect any rights or obligations accrued prior to the date of termination. |
| Article 7 – Entire Agreement |
|
This contract constitutes the entire agreement between Duke Law and the Client with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral. |
